Corporate Boutique Law Firm Nemphos Braue Adds Two to Legal Team

BALTIMORE – Continuing to diversify its breadth and depth of legal talent and expertise, Nemphos Braue LLC announces the addition of two legal team members – Katelynn M. Brennan and Caroline Popper. Combined, they bring expertise in mergers and acquisitions, startups, financial transactions, business formation and governance, as well as experience working directly with clients, providing sophisticated legal and business consulting advice, particularly in technology and healthcare.

Corporate Associate Katelynn M. Brennan joined Nemphos Braue in September 2024. She works with clients in areas including mergers and acquisitions, financial transactions, business formation and governance, technology transfer and software licensing, and other general corporate and business law matters.

Katie’s most recent experience before joining Nemphos Braue focused on corporate transactions, including M&A, preparing and reviewing a wide range of documents such as asset and stock purchase agreements, confidentiality, membership and management agreements, and providing general corporate and securities law advice. Her previous work at both large and small firms, and in a variety of areas including real estate, privacy and securities, as well as litigation, class action, estate planning and research, gives her a breadth of knowledge and experience to better help clients across a variety of industries.

Born and raised in Lansing, Michigan, Katie received her Juris Doctor from the Michigan State University College of Law in 2020, receiving numerous achievement awards. She graduated cum laude and served as Finance Director for the MSU Law Student Bar Association. While attending law school, she also served on the Project on Predatory Student Lending at Harvard Law School’s Legal Services Center and as an Honors Intern with the U.S. Securities and Exchange Commission in the Division of Enforcement. She obtained her Bachelor of Science in Natural Resource Recreation and Tourism from Michigan State University in 2012.

She is admitted to the Bar in the State of Maryland.

Caroline Popper, MD, MPH, JD, joined Nemphos Braue in August 2024*. Caroline previously co-founded and served as president for Popper and Company LLC, a Baltimore-based strategy and M&A advisory firm dedicated to helping life science companies develop and commercialize new technology. Through her consultancy, she led the growth strategy and served as founding CEO for multiple hospital and university spinouts and advised healthcare, diagnostic, life science tools, MedTech, digital and pharma services companies from startup to exit, and from early financing rounds to multibillion-dollar acquisitions.

Caroline serves as a board member for several venture and private equity-backed healthcare and life sciences companies and has a long track record of collaborating with academic innovators and government agency insiders to translate technology into the commercial space.

Prior to her consultancy work, Caroline was an attending physician in the emergency medicine department at Johns Hopkins Hospital and completed her residencies in internal medicine and in pathology at Johns Hopkins. She received her Juris Doctor from the American University Washington College of Law in Washington, D.C. in 2024. She obtained her Master of Public Health from the Johns Hopkins School of Hygiene and Public Health with a concentration in economics, health policy and management. She studied medicine at the University of the Witwatersrand in Johannesburg, South Africa, where she grew up.
